Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the NapCue mobile application or website at napcue.com (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and ROAMEI INC, a corporation incorporated under the laws of Ontario, Canada, operating as NapCue.

2. Eligibility

You must be at least 18 years of age to create an account or use the Service. By using the Service, you represent and warrant that you meet this requirement. The Service is intended for use by parents, guardians, and caregivers of infants and young children.

3. Account Registration

You may create an account using an email address or via Apple Sign-In or Google Sign-In. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@napcue.com if you suspect unauthorized access to your account.

You may only create one account per person. Accounts are non-transferable.

4. The Service

NapCue is a baby sleep tracking and prediction application that allows parents and caregivers to:

• Log infant activities (sleep, feeding, diapers, milestones, and more)
• Receive personalized nap window predictions based on logged data
• Access educational sleep content
• Track parent wellness through mood check-ins and journaling
• Share access with invited caregivers

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

6. User Content

You retain ownership of all data and content you enter into the Service ("User Content"), including activity logs, journal entries, and notes. By using the Service, you grant ROAMEI INC a limited, non-exclusive, worldwide, royalty-free licence to store, process, and display your User Content solely to provide and improve the Service.

You represent that you have the right to submit all User Content and that it does not violate any third-party rights or applicable laws. You are solely responsible for the accuracy of data you enter.

7. Caregiver Sharing

When you invite a caregiver, you grant that person access to view and log activity data for the baby profile associated with the invitation. You are responsible for ensuring that any person you invite has consented to have their account data (email address) processed in connection with the invitation. You may revoke caregiver access at any time in Settings → Family.

8. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms.
• Attempt to gain unauthorized access to other users' accounts or data.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Scrape, crawl, or otherwise extract data from the Service by automated means without our written consent.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Submit false, misleading, or fraudulent User Content.

9. Medical Disclaimer

NapCue is not a medical device and does not provide medical advice. The sleep predictions, educational content, and wellness features are intended as general informational tools for parents and caregivers and are not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider regarding your child's health, development, and sleep.

ROAMEI INC makes no representations or warranties regarding the accuracy or reliability of any sleep prediction. Predictions are based on patterns in data you provide and will vary in accuracy.

10. Intellectual Property

The Service and all content, features, and functionality (including but not limited to the NapCue name, logo, prediction algorithms, educational content, and sleep sounds) are owned by ROAMEI INC and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for personal, non-commercial purposes. No other rights are granted.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ROAMEI INC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROAMEI INC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR PERSONAL INJURY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ROAMEI INC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ROAMEI INC IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) CAD $100.

13. Indemnification

You agree to indemnify, defend, and hold harmless ROAMEI INC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration administered in Toronto, Ontario, under the rules of the ADR Institute of Canada, except that either party may seek injunctive or other equitable relief from a court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and notify registered users by email or in-app notice at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.

16. Termination

We may suspend or terminate your account at any time for violation of these Terms, or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. You may delete your account at any time in Settings → Account → Delete Account.

17. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and ROAMEI INC regarding the Service. If any provision of these Terms is held to be unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
